Terms of service

Last updated

The contract between you and Sigmix for use of the console and the inference API.

This build carries draft wording. Every section marked as a placeholder must be settled with Saudi counsel before launch.

01Parties

Placeholder — counsel review required

These terms are between you, or the organisation you sign up on behalf of, and the operator of Sigmix Inference API in the Kingdom of Saudi Arabia.

[PLACEHOLDER — counsel to confirm: the contracting entity, its commercial registration number and its registered address. Where you sign up on behalf of an organisation, you confirm you are authorised to bind it.]

02Accepting these terms

You accept these terms by creating an account or by using the API. If you do not accept them, do not use the service.

The Acceptable Use Policy and, where personal data is involved, the Data Processing Addendum form part of these terms.

03What the service is

Sigmix Inference API is an OpenAI-compatible API with two routes. The sovereign route is served only inside the Kingdom. The international route reaches models served outside it. Each API key belongs to one route, and you choose which when you create it.

You may name the model you want, or let routing choose one within the constraints you set. Sigmix does not create the models and does not warrant their output.

04Your account

Keep your account details accurate and your credentials confidential. You are responsible for everything done through your account and your API keys, including by people you give access to.

Tell us immediately if you believe a key or a password has been exposed. You can revoke a key from the console at any time and the revocation takes effect on the next request.

05API keys

An API key is a bearer credential. Anyone holding it can spend your credit. Treat it as you would a password: never commit it to a repository, never put it in a browser bundle, and rotate it on staff changes.

We show a key in full once, at creation. After that only the last characters are displayed.

06Acceptable use

Your use must comply with the Acceptable Use Policy, with the laws of the Kingdom of Saudi Arabia, and with the terms of the model providers whose models you call.

We may suspend a key or an account that breaches those rules. Where the breach is not serious and can be fixed, we will normally ask you to fix it first.

07Model availability and routing

A pinned model is not re-routed. If a pinned model is unavailable, the request fails rather than silently running somewhere else.

Where you allow routing to choose, it selects within the pool and the constraints you configured. The catalogue changes: models are added, versioned and withdrawn, and provider licence terms can force a withdrawal at short notice. We give notice of a planned withdrawal where we are able to.

08Credit, pricing and payment

Placeholder — counsel review required

The service is prepaid. You add credit, and metered usage is deducted from it. Prices are published in the console and on the pricing page, and are quoted exclusive of value added tax, which is added at the prevailing Saudi rate.

Prices are set in one currency and displayed in the other at the pegged rate shown in the console. The pegged display is for convenience; the billed amount is the one on your invoice.

[PLACEHOLDER — counsel and finance to confirm: refund and expiry treatment for unused prepaid credit, the invoicing cycle, and late-payment terms for invoiced accounts.]

09Spend limits

You can set a hard spend cap on an account or on an individual key. Requests that would take you past the cap are refused before they run.

A cap is checked before each request runs, against the most that request could cost, and that amount is counted against the cap until the request finishes and is settled to its real cost. A request that could take you over the cap is refused rather than run.

10Availability

Placeholder — counsel review required

We aim to keep the service available and will publish planned maintenance in advance.

[PLACEHOLDER — counsel and engineering to confirm: whether a service level agreement is offered, and if so the availability target, the measurement method, the exclusions and the service credit. Until that exists, no availability figure is asserted anywhere on this site.]

11Your content and ours

You keep all rights in the content you send. You grant us only the licence needed to transmit, process and serve it, and to meter and bill it.

As between you and us, the output of a model in response to your input is yours, subject to the model provider terms below.

We keep all rights in the service, the console, the documentation and our trade marks. Nothing in these terms transfers them.

12Third-party model terms

Models in the catalogue are licensed from their providers, and those licences carry restrictions that flow down to you: on permitted use, on redistribution of output, and sometimes on training other models with output.

We publish the applicable restrictions alongside each model. Calling a model means accepting the restrictions that apply to it.

13Confidentiality

Each side will protect the other side non-public information disclosed under these terms with at least the care it applies to its own, and will use it only to perform these terms.

This does not apply to information that is public through no fault of the receiving side, was already known to it, or is required to be disclosed by law or by a competent authority.

14Warranties and disclaimers

We provide the service with reasonable skill and care.

Model output can be wrong, incomplete or unsuitable. It is not legal, medical, financial or engineering advice. You are responsible for reviewing output before you act on it, and for keeping a person in the loop wherever the consequence of an error is serious.

Except as stated in these terms and to the extent permitted by Saudi law, we give no other warranty, express or implied.

15Limitation of liability

Placeholder — counsel review required

[PLACEHOLDER — counsel to draft: the liability cap, its measurement period, the categories of excluded loss, and the carve-outs that survive the cap, in a form that is enforceable under Saudi law. A cap copied from a foreign template is not a cap.]

Nothing in these terms excludes liability that cannot be excluded under the law of the Kingdom of Saudi Arabia.

16Indemnity

Placeholder — counsel review required

[PLACEHOLDER — counsel to draft: mutual or one-way indemnities, the conduct-of-claim mechanics, and how they interact with the liability cap above.]

17Suspension and termination

You may close your account at any time from the console.

We may suspend access immediately where there is a security risk, a legal requirement, or a serious breach of the Acceptable Use Policy. For anything less serious we give notice and a chance to fix it.

On termination we stop serving requests and, on request, give you a copy of your usage records before deletion.

18Changes

We may change the service and these terms. We publish the date of the most recent change at the top of this page, and we tell account holders by email before a material change takes effect. Continuing to use the service after that date means accepting the change.

19Governing law and disputes

Placeholder — counsel review required

These terms are governed by the laws of the Kingdom of Saudi Arabia.

[PLACEHOLDER — counsel to confirm: the forum. Choose between the competent courts in Riyadh and arbitration under the Saudi Centre for Commercial Arbitration, and if arbitration, the seat, the language and the number of arbitrators.]

20Language

These terms are published in Arabic and in English. If the two versions differ, the Arabic version prevails.
